Terms of Service for Synaptic Sound

1. Acceptance of Terms

By accessing or using Synaptic Sound's services, including our artist management platform, music production services, and the purchase or download of any music content, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services Provided

Synaptic Sound provides artist management and music production services, as well as the sale and licensing of music compositions and sound recordings ("Music Content"). By using our platform, you acknowledge and agree:

  • We connect music producers with opportunities and resources.
  • We showcase Canadian music production talent.
  • We facilitate networking and collaboration opportunities.
  • Music Content offered for sale or license may be created by human artists or generated using artificial intelligence (AI) tools.
  • We will clearly label and categorize Music Content to indicate whether it is human-created, AI-generated, or a combination thereof.
  • Services and the availability of specific Music Content are subject to change without notice.

3. User Responsibilities

As a user of Synaptic Sound services, you agree to:

  • Provide accurate and up-to-date information.
  • Respect the intellectual property rights of all artists, including those rights pertaining to AI-generated works as outlined in Section 4.
  • Use the platform and purchased Music Content for lawful purposes only, and in compliance with the specific licenses granted for that content.
  • Maintain confidentiality of any account credentials.
  • Report any unauthorized use or security breaches.
  • Acknowledge that any license you acquire for Music Content does not transfer ownership of the underlying copyrights.

4. Intellectual Property and Licensing

4.1. General Provisions

All content on the Synaptic Sound platform, including text, graphics, logos, and the Music Content itself, is owned by Synaptic Sound or its content providers and is protected by intellectual property laws.

4.2. Music Content Licensing

The purchase of Music Content grants you a non-exclusive, non-transferable, and revocable license to use the Music Content strictly in accordance with the specific license agreement provided at the time of purchase (e.g., standard license, commercial license, unlimited license). You are responsible for reviewing and adhering to the terms of the specific license for each piece of Music Content you acquire.

4.3. AI-Generated Content

Synaptic Sound, or the originating artist, retains all rights, title, and interest in and to all AI-Generated Music Content, including the underlying data, algorithms, and models used to create it.

The licensing terms for AI-Generated Music Content will explicitly state any limitations on its use, including, but not limited to, restrictions on training other AI models or claiming authorship of the resulting work.

You must not represent yourself as the creator or author of AI-Generated Music Content.

4.4. Prohibited Uses

You may not:

  • Copy, distribute, or reproduce any Music Content or platform content without the express written permission of Synaptic Sound or the rightful owner.
  • Sublicense, resell, or otherwise commercially exploit Music Content in a manner not expressly permitted by the accompanying license.
  • Use Synaptic Sound branding, trademarks, or logos without authorization.
  • Reverse engineer or attempt to improperly access our systems.
  • Infringe on copyrights, trademarks, or other intellectual property.
  • Upload or submit any content to our platform that infringes on the intellectual property rights of others.

5. Limitation of Liability

Synaptic Sound shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services, the purchase or use of Music Content, or inability to use the services. Our total liability shall not exceed the amount paid by you for the services and/or Music Content in the twelve months preceding the claim.

6. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including, but not limited to, breach of these Terms of Service, violation of applicable laws, or violation of the terms of any Music Content license. Upon termination, your right to use the services and any unfulfilled licenses will immediately cease.
