Music Content and Platform License Agreement

1. Scope and Grant of License

This agreement governs your access to and use of the Synaptic Sound platform, as well as the terms for licensing Music Content (defined as sound recordings, compositions, and all related material) purchased directly from Synaptic Sound.

1.1. Platform Access License

Synaptic Sound grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our platform for its intended purpose of browsing artist profiles, reviewing content, and purchasing Music Content. This license is strictly for platform access and does not grant any rights to the underlying Music Content displayed.

1.2. Music Content License

Upon purchasing or downloading Music Content, Synaptic Sound grants you a separate, specific license to use that Music Content, which will be detailed in a supplemental agreement (e.g., Standard License, Commercial License, Exclusive License) presented at the time of purchase. The specific rights granted depend entirely on the license type you select and pay for.

2. Music Content Ownership and Rights

2.1. Ownership and Copyright

All Music Content remains the property of Synaptic Sound and/or its licensors (the originating artist or AI system creator). You are acquiring only the right to use the Music Content as defined by your specific license, not the ownership of the copyright.

2.2. Human vs. AI-Generated Content

Disclosure: Music Content is categorized as Human-Created (created entirely by a human artist) or AI-Generated (created using artificial intelligence tools).

Warranties: For Human-Created Content, Synaptic Sound warrants that it has the necessary rights to license the content. For AI-Generated Content, you acknowledge that legal rights and copyright protection may be subject to evolving laws and court decisions.

2.3. Attribution and Claims

You must not claim authorship of any Music Content, regardless of the license type.

For AI-Generated Content, you are expressly prohibited from registering the Music Content with any copyright office, collective rights organization (e.g., SOCAN, ASCAP, BMI), or content identification system (e.g., YouTube Content ID).

3. Music Content Usage and Restrictions

This section outlines general usage terms. Specific details are governed by your selected license (e.g., Standard, Commercial).

3.1. Permitted Uses (General)

Unless restricted by your specific license, you may use the Music Content:

  • In non-commercial and personal projects.
  • Synchronized with visual media (e.g., videos, podcasts, games).
  • In the territory defined by your license.

3.2. Prohibited Uses (Always)

You may not use the Music Content in any way that violates this agreement, including:

  • Resale or Sub-licensing: You may not resell the Music Content as a standalone track, or transfer, give away, or sublicense the track to a third party.
  • Derivative Music: You may not use the Music Content to create a new musical work where the original track is the primary component (e.g., creating a cover or remix for distribution, unless explicitly permitted by an exclusive license).
  • AI Training: You may not use the Music Content, samples, or any components to train, develop, or improve any Artificial Intelligence model or machine learning system.
  • Infringement: Using the Music Content in a manner that is defamatory, illegal, or infringes upon any third-party rights.
  • Watermarks: Removing or tampering with any audio watermarks, technical metadata, or copyright notices embedded in the Music Content.

4. Termination

This license is effective until terminated.

Automatic Termination: Your rights under this license will terminate immediately and automatically if you fail to comply with any term of this agreement or your specific Music Content license.

Termination Effects: Upon termination, you must immediately cease all use of the platform and all licensed Music Content, and you must destroy all copies of the Music Content. Any fees paid are non-refundable.
